These Terms & Conditions ("Terms") govern your use of the Locally1st website and service ("Service") operated by Heartland Sky LLC, doing business as Locally1st ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms.

1. Who you're contracting with

The Service is provided by Heartland Sky LLC. When you sign up as a vendor, you contract directly with us for the listing service. Payments for vendor subscriptions are processed by our reseller (see "Payments" below).

2. Acceptance of terms

By creating an account, listing an operation, or otherwise using the Service, you confirm you have read these Terms and agree to them. If you do not agree, do not use the Service.

3. Eligibility & authority

You must be at least 18 years old (or the age of majority in your jurisdiction) and, if applying on behalf of a business or farm, have authority to bind that entity. You are responsible for keeping your account credentials confidential and for activity under your account.

4. The Service

Locally1st is a curated, community-reviewed map of local growers, ranchers, makers, and general stores. Each vendor is reviewed by a human before being listed. We make no guarantee that the Service will be uninterrupted, error-free, or available in every region.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or to commit fraud;
  • Misrepresent your operation, products, or location;
  • Send spam, malware, or attempt to interfere with the Service's security;
  • Scrape, copy, or redistribute vendor data without our written permission;
  • Infringe anyone's intellectual property rights.

6. Intellectual property

The Service, including its software, design, branding, and editorial content, is owned by Heartland Sky LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the content you submit (operation name, story, inventory, photos) and grant us a non-exclusive license to host and display that content as part of the Service.

7. Pricing

Locally1st is currently free for both shoppers and vendors. If we introduce paid plans in the future, we'll give you advance notice and you'll always have the option to keep using the free tier or cancel.

8. Suspension & termination

We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, security or fraud risk, or repeated violations of our community standards. We will give reasonable notice when we can.

On termination, your right to use the Service ends. We may retain your data for a reasonable period for legal, compliance, or backup purposes (see our Privacy Notice).

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill. These limits do not apply to fraud, death, or personal injury caused by our negligence where excluded by law.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of: (a) the content you submit; (b) your unlawful use of the Service; or (c) your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the state in which Heartland Sky LLC is organized, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in that jurisdiction.

13. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, or acts of government.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the Service or by email. Continued use after changes take effect constitutes acceptance.
